This website is intended for business buyers and authorized company representatives. By submitting an inquiry, requesting a quotation, or placing an order, the user confirms that they are acting for a business and have authority to communicate purchase requirements or bind the buyer where applicable.

本网站面向企业买家和经授权的公司代表。提交询盘、索取报价或下单，即表示使用者确认其代表企业行事，并在适用情况下有权沟通采购需求或约束买方。

Product pages are for reference and do not constitute a binding offer. Prices, MOQ, lead time, packaging, specifications, freight, taxes, and availability must be confirmed by Woodnest in a quotation, proforma invoice, sales confirmation, purchase order acceptance, or other written confirmation.

产品页面仅供参考，不构成有约束力的要约。价格、MOQ、交期、包装、规格、运费、税费和库存必须以 Woodnest 的报价单、形式发票、销售确认、采购订单接受或其他书面确认为准。

If these policies conflict with a quotation, proforma invoice, sales confirmation, purchase order accepted by Woodnest, signed agreement, or written specification approval, the latest written order document accepted by Woodnest will control for that transaction.

如本政策与报价单、形式发票、销售确认、Woodnest 接受的采购订单、签署协议或书面规格确认存在冲突，则以 Woodnest 接受的最新书面订单文件为该交易的优先依据。

Samples, sample fees, freight, MOQ, mold fees, tooling fees, artwork fees, packaging fees, and mass production lead times are subject to written confirmation. Production may not start until Woodnest receives required payment, final specifications, approved artwork, approved samples where applicable, and any other information required for production.

样品、样品费、运费、MOQ、模具费、工装费、设计稿费用、包装费用和大货生产周期均以书面确认为准。Woodnest 收到所需付款、最终规格、确认设计稿、适用情况下确认样品以及生产所需其他信息前，生产可能不会启动。

Payment terms, deposit, balance payment, bank charges, currency, payment deadline, and consequences of late payment are governed by the quotation or order document. Woodnest may suspend production, shipment, or document release if payment is delayed, incomplete, reversed, disputed, or not received as agreed.

付款条件、定金、尾款、银行费用、币种、付款期限和逾期付款后果，以报价或订单文件为准。如付款延迟、不完整、被撤回、存在争议或未按约收到，Woodnest 可暂停生产、发货或放单。

Any change or cancellation request must be submitted in writing and is effective only after Woodnest confirms it in writing. Once materials are purchased, customization begins, packaging is printed, production starts, or shipment is arranged, cancellation or changes may be rejected or subject to costs already incurred.

任何修改或取消请求必须书面提交，并仅在 Woodnest 书面确认后生效。一旦材料已采购、定制已开始、包装已印刷、生产已启动或发运已安排，取消或修改可能被拒绝，或需承担已经发生的费用。

The buyer is responsible for checking dimensions, materials, colors, surface finish, artwork, spelling, logos, labels, packaging, compliance requirements, and destination market requirements before approval. Woodnest is not responsible for buyer-approved errors unless otherwise agreed in writing.

买方有责任在确认前核对尺寸、材料、颜色、表面处理、设计稿、拼写、Logo、标签、包装、合规要求和目的市场要求。除非另有书面约定，Woodnest 不对买方已确认的错误负责。

The buyer represents that it has the right to use any logo, trademark, artwork, design, photo, packaging text, label, instruction, or specification provided to Woodnest. The buyer is responsible for claims arising from buyer-provided materials unless caused by Woodnest's independent infringement.

买方声明其有权使用提供给 Woodnest 的任何 Logo、商标、设计稿、设计、照片、包装文字、标签、说明或规格。因买方提供资料产生的索赔由买方负责，除非该索赔由 Woodnest 的独立侵权行为造成。

The buyer is responsible for confirming that products, packaging, labels, warnings, manuals, import documentation, and resale practices comply with the laws, standards, and platform rules of the buyer's destination market unless Woodnest expressly accepts a specific compliance obligation in writing.

除非 Woodnest 书面明确接受特定合规义务，买方负责确认产品、包装、标签、警示语、说明书、进口文件和转售做法符合目的市场法律、标准和平台规则。

To the fullest extent permitted by law and unless otherwise agreed in a signed contract, Woodnest's aggregate liability for a transaction will not exceed the amount actually paid by the buyer for the affected goods. Woodnest will not be liable for indirect, incidental, special, consequential, punitive, resale loss, lost profit, recall, market loss, or buyer's downstream customer claims except where such limitation is prohibited by law.

在法律允许的最大范围内，除非签署合同另有约定，Woodnest 对某一交易的累计责任不超过买方就受影响商品实际支付的金额。除非法律禁止限制，Woodnest 不承担间接、附带、特殊、后果性、惩罚性、转售损失、利润损失、召回、市场损失或买方下游客户索赔责任。

Governing law, jurisdiction, arbitration, venue, language, and dispute process should be specified in the quotation, proforma invoice, sales confirmation, signed agreement, or other written order document: the laws of the People's Republic of China.

适用法律、管辖、仲裁、地点、语言和争议流程应在报价单、形式发票、销售确认、签署协议或其他书面订单文件中明确：the laws of the People's Republic of China。
